- CRM and automation platforms  
- Cloud hosting providers  
- Telephony and voice AI providers  
- Payment processors  
- Email marketing platforms  
- Analytics providers  

These providers may process personal data as part of delivering our services.

These Terms and Conditions govern the use of the Nexus IQ website, services, software, AI systems, and any related products or platforms operated by Nexus IQ ("we", "us", "our").


By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.


2. ABOUT NEXUS IQ


Nexus IQ provides AI-powered business systems, automation tools, digital agents, advisory services, and related technology solutions. Our services may include but are not limited to AI receptionists, routing agents, administrative assistants, review management systems, workflow automation, and consulting.


Nexus IQ operates as a technology and systems provider and does not provide regulated professional services.


3. ELIGIBILITY


You must be at least 18 years old and have the legal authority to enter into binding contracts to use Nexus IQ services. By using our services, you confirm that you meet these requirements.


4. SCOPE OF SERVICES


4.1 Nexus IQ provides tools and systems designed to assist businesses with automation, efficiency, and operational support.


4.2 Our services do not replace legal advice, financial advice, medical advice, or HR or employment advice.


4.3 AI-generated outputs are provided on an as-is basis and may require human review before use. Any reliance on outputs is at your own discretion and risk.


5. CLIENT RESPONSIBILITIES


You agree to:

- Provide accurate, lawful, and up-to-date information

- Ensure your use of Nexus IQ complies with all applicable laws and regulations

- Independently review and validate all AI-generated outputs

- Maintain the confidentiality of login credentials and system access


You are solely responsible for how Nexus IQ systems are implemented and used within your business.


6. ACCEPTABLE USE


You must not use Nexus IQ services to:

- Break any laws or regulations

- Misrepresent, impersonate, or defraud individuals or organisations

- Generate or distribute unlawful, harmful, or abusive content

- Infringe intellectual property rights

- Attempt to bypass security, safeguards, or usage limits


We reserve the right to suspend or terminate access where misuse is identified.


7. INTELLECTUAL PROPERTY


7.1 All Nexus IQ systems, software, workflows, documentation, branding, and technology remain the intellectual property of Nexus IQ unless otherwise stated.


7.2 A limited, non-exclusive, non-transferable licence is granted to use Nexus IQ services during an active engagement or subscription.


7.3 You may not copy, resell, modify, reverse-engineer, or redistribute Nexus IQ systems without prior written consent.


8. PAYMENTS AND FEES


8.1 Fees are agreed in advance and may include setup fees, subscription fees, or usage-based charges.


8.2 All fees must be paid in accordance with agreed payment terms.


8.3 Non-payment may result in suspension or termination of services.


8.4 All prices are exclusive of VAT unless stated otherwise.


9. DATA PROTECTION AND PRIVACY


9.1 Nexus IQ processes data in accordance with UK GDPR and applicable data protection laws.


9.2 You remain the data controller for all personal data entered into Nexus IQ systems.


9.3 You confirm that you have the legal right to provide and process any data supplied to Nexus IQ.

10. CONFIDENTIALITY


Both parties agree to keep confidential any non-public, commercially sensitive, or proprietary information disclosed during the course of engagement, unless disclosure is required by law.


11. LIMITATION OF LIABILITY


11.1 Nexus IQ shall not be liable for:

- Loss of profits, revenue, or business opportunity

- Loss of data or system downtime

- Indirect or consequential losses

- Decisions made based on AI-generated outputs


11.2 Nexus IQ’s total liability shall not exceed the total fees paid by the client in the twelve months preceding the claim.


Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraud.


12. NO GUARANTEES


Nexus IQ does not guarantee:

- Business growth or financial results

- Accuracy, completeness, or suitability of AI-generated outputs

- Continuous, uninterrupted, or error-free service


AI systems are subject to technical limitations and variability.


13. SUSPENSION AND TERMINATION


Nexus IQ may suspend or terminate access immediately if:

- These Terms are breached

- Fees remain unpaid

- Unlawful or abusive use is detected


Clients may terminate services subject to agreed notice periods.


14. CHANGES TO TERMS OR SERVICES


We may update these Terms or modify services at any time. Continued use of Nexus IQ after changes are made constitutes acceptance of the updated Terms.


15. THIRD-PARTY SERVICES


Nexus IQ may integrate with third-party platforms and services. We are not responsible for third-party systems, outages, changes, or policies.


16. GOVERNING LAW


These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
